2. Scope of Services

UpBase provides services including but not limited to:

  • E-commerce Enabler services: management and operation of e-commerce stores on online sales platforms;
  • Digital Marketing and online advertising services;
  • Livestream services, KOL/KOC booking, and sales communication services;
  • Warehouse operations, fulfillment, and customer service solutions;
  • Software services and technology solutions supporting e-commerce operations;
  • Consulting and implementation of digital transformation solutions for enterprises, including consulting, deployment, and integration of technology platforms used for enterprise management, internal collaboration, workflow management, and operational management, which may include technology solutions provided by technology partners (e.g., the Lark platform or similar platforms);
  • Other consulting and support services related to e-commerce operations.

The specific scope of services will be defined in detail in the quotation, service proposal, or service agreement executed between UpBase and the customer.

3. Service Request and Provision Process

Customers wishing to use UpBase services may contact UpBase through the following channels:

  • Submitting a service request form on the UpBase website;
  • Contacting the hotline or email address published on the website;
  • Directly contacting the UpBase sales department.

The service provision process is carried out as follows:

Step 1 – Service Request Intake

UpBase receives the customer's request, including business objectives, service scope, and specific requirements.

Step 2 – Consulting and Service Proposal

UpBase provides consultation and proposes appropriate solutions by issuing a quotation or service proposal tailored to the customer’s requirements.

Step 3 – Agreement and Contract Execution

Once both parties agree on the scope of cooperation, the parties will proceed with the execution of a service agreement or cooperation agreement in accordance with applicable laws.

Step 4 – Service Implementation

UpBase implements the services in accordance with the scope, timeline, and standards specified in the contract.

4. Conditions for Using the Services

Customers using UpBase services must meet the following conditions:

  • Provide complete, accurate, and lawful information;
  • Comply with the laws of Vietnam related to e-commerce, advertising, business operations, and consumer protection;
  • Not use UpBase services for illegal purposes or activities that infringe upon the lawful rights and interests of other organizations or individuals.

UpBase reserves the right to refuse service provision in the following cases:

  • The customer provides false or incomplete information;
  • The customer's business activities violate applicable laws;
  • The requested service content does not comply with UpBase’s operational policies.

5. Service Fees and Payment Methods

The service fees of UpBase are determined based on service packages or customized proposals tailored to customer requirements.

Specific pricing will be specified in:

  • Service quotations;
  • Service appendices; or
  • Contracts executed between the parties.

Payment methods and payment schedules will be carried out in accordance with the payment terms specified in the valid service agreement between UpBase and the customer.

6. Software Services and Subscription Services

For software products or technology platforms consulted, implemented, or integrated by UpBase (including platforms provided by technology partners), services may be provided under the following models:

  • Subscription-based services (monthly or annual);
  • System deployment or technology integration fees;
  • Service usage or system operation fees.

Service usage conditions, system access rights, and usage limitations will be specified in the relevant service agreement or software usage agreement.

The licensing and use of third-party technology platforms will be governed by the terms and policies of the respective software providers.

UpBase acts as a consultant, implementer, or integration support provider and is not the owner or developer of third-party software platforms.

7. Limitation of Liability

UpBase provides services on a best-efforts basis to support customers’ business operations.

UpBase shall not be liable for any damages arising from:

  • The customer’s violations of applicable laws;
  • Inaccurate information or data provided by the customer;
  • Policy changes made by e-commerce platforms or third-party service providers;
  • Force majeure events as defined under applicable laws.

8. Governing Law and Dispute Resolution

These terms of transaction shall be governed by the laws of Vietnam.

Any disputes arising in connection with the use of the website or UpBase services shall first be resolved through good-faith negotiation between the parties.

If no agreement can be reached, the dispute shall be resolved by the competent court in Vietnam in accordance with applicable laws.

9. Regulations for Conditional Business Sectors

The services provided by UpBase through the website primarily fall under technology services, marketing services, e-commerce operations, and digital transformation solutions, which are not categorized as conditional business sectors under applicable laws at the time this policy is issued.

In the event that UpBase provides services related to conditional business sectors under applicable laws, UpBase will:

  • Fully comply with the legal business conditions required by law; and
  • Require customers or partners to provide the necessary licenses, certifications, or legal documents required to implement the services.

Customers using UpBase services are responsible for ensuring that their business activities, products, or services comply with all applicable laws and regulatory requirements, including any applicable business conditions.
